Updated Statement of Total Voting Rights and Share Capital

In conformity with the Transparency Directive's transitional provision 6, NapoPharmaceuticals, Inc. ("Napo") is required to notify the market of the following:

Subsequent to Napo's announcement of its total voting rights dated January 19, 2006 Napo has issued 170,482 shares (comprising 162,364 Placing Shares and 8,118 shares to be issued to the Company's advisers) in the second tranche of a private placement as announced on 15 May 2007.

Napo's current issued share capital (exclusive of shares held in treasury) now consists of 47,142,278 common shares with a nominal value of USD $.0001 each, with voting rights. Napo Pharmaceuticals, Inc. holds 25,614 common shares in Treasury.

Therefore, the total number of voting rights in Napo (exclusive of shares held in treasury) is 47,142,278.

The above figure of 47,142,278 common shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Napo under the Financial Service Authority's Disclosure and Transparency Rules.
