Updated Statement of Total Voting Rights and Share Capital

In conformity with the Transparency Directive's transitional provision 6, Napo Pharmaceuticals, Inc. ("Napo") is required to notify the market of the following:

Subsequent to Napo's announcement of its total voting rights dated December 21, 2006 Napo has issued 3,150,914 common shares pursuant to a private placement announced on 8 January 2007 and 677,468 common shares to current and former employees and directors under its 2001 Equity Incentive Scheme.

Napo's current issued share capital (exclusive of shares held in treasury) consists of 46,971,796 common shares with a nominal value of USD $.0001 each, with voting rights. Napo Pharmaceuticals, Inc. holds 25,614 common shares in Treasury.

Therefore, the total number of voting rights in Napo (exclusive of shares held in treasury) is 46,971,796.

The above figure of 46,971,796 common shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Napo under the Financial Service Authority's Disclosure and Transparency Rules.
