Total Voting Rights and Share Capital
South San Francisco, California, December 21, 2006 - In conformity with the Transparency Directive's transitional provision 6, Napo Pharmaceuticals, Inc. ("Napo") is required to notify the market of the following:
Napo's issued share capital consists of 43,169,028 common shares with a nominal value of USD $.0001 each, with voting rights. Napo Pharmceuticals, Inc. does not hold any common shares in Treasury. This number includes the issue of 3,334 shares under the announced Block Listing of 1 December, 2006.
Therefore, the total number of voting rights in Napo is 43,169,028.
The above figure of 43,169,028 shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Napo under the Financial Service Authority's Disclosure and Transparency Rules.
